Terms & Conditions

***1. SERVICES PROVIDED *1.1 Annual Membership Benefits This Signature Preventative Maintenance Membership Agreement ("Agreement") between Ridgeline HVAC + Refrigeration ("Company") and the Below-Signed customer ("Customer") provides the following annual benefits: • Two (2) complimentary service calls (valued at $300) • One (1) Signature 24-Point HVAC Cleaning & Maintenance Service (valued at $297.50) • Twenty percent (20%) discount on any additional services required throughout the membership year • Priority scheduling for emergency and non-emergency service requests *1.2 24-Point Inspection & Maintenance Company will perform a comprehensive inspection and maintenance service including but not limited to: filter replacement/cleaning, coil cleaning, drain pan cleaning, thermostat calibration, electrical connection inspection, refrigerant level check, ductwork inspection, safety control testing, and other standard HVAC maintenance procedures as determined by Company's certified technicians. *1.3 Pass/Fail Assessment and Additional Costs All inspections will be conducted using Company's pass/fail criteria. Items that do not meet Company's standards will be documented and reported to Customer with recommendations for corrective action. ANY ADDITIONAL SERVICES, REPAIRS, PARTS, OR CORRECTIONS REQUIRED BEYOND THE SCOPE OF THIS MEMBERSHIP WILL INCUR ADDITIONAL COSTS and require Customer authorization before performance. Customer acknowledges that problems discovered during inspection may require immediate attention for safety reasons and that such repairs will be charged at Company's prevailing rates, less applicable membership discounts. ***2. MEMBERSHIP TERM AND RENEWAL *2.1 Initial Term This Agreement commences on date of signing and continues for twelve (12) months ("Initial Term"). *2.2 Automatic Renewal Unless either party provides thirty (30) days written notice of non-renewal, this Agreement will automatically renew for successive one-year terms. COMPANY RESERVES THE RIGHT TO MODIFY MEMBERSHIP FEES AT ANY TIME WITH SIXTY (60) DAYS WRITTEN NOTICE TO CUSTOMER. *2.3 Service Year Definition The membership year runs from the date of this Agreement. Unused benefits do not carry over to subsequent membership years. ***3. PAYMENT TERMS *3.1 Membership Fee Standard Annual Membership Fee: $395.00 Payment Options: Annual Payment (SAVE $70): $325.00 when paid in full at time of enrollment. Monthly Payment: $32.92 per month via automatic payment method Promotional Pricing: Current promotional rates, seasonal discounts, or special offers may modify the above pricing. Promotional pricing, when applicable, will be clearly disclosed at time of enrollment and documented on this Agreement. Payment Method Requirements: Monthly payment option requires enrollment in automatic payment via credit card, debit card, or ACH bank transfer. Customer is responsible for maintaining current payment information. *3.2 Payment Schedule • Annual Payment: Due upon signing and annually thereafter. Auto-renewal discount will be applied at time of billing. • Monthly Payment: Due on the same date each month via automatic payment method- credit card, debit card, or ACH bank transfer. *3.3 Fee Adjustments Company reserves the right to adjust membership fees at any time. Customers will receive sixty (60) days written notice of any fee increases. Continued use of services after notice period constitutes acceptance of new pricing. *3.4 Late Payments Past due amounts will incur a late fee of $25 after fifteen (15) days. Failure to maintain current payment status may result in suspension of membership benefits and termination of this Agreement. *3.5 Additional Services Services beyond membership benefits will be charged at Company's prevailing rates, less applicable membership discounts. Payment for additional services is due upon completion unless other arrangements are agreed to in writing. ***4. SCHEDULING AND ACCESS *4.1 Scheduling Customer will receive priority scheduling for all services. Company will make reasonable efforts to accommodate Customer's preferred scheduling but cannot guarantee specific dates or times. *4.2 Access Requirements Customer must provide reasonable access to all HVAC equipment and systems during normal business hours (Monday-Friday, 8:00 AM to 5:00 PM). After-hours or weekend service may incur additional charges not covered by this membership. *4.3 Missed Appointments If Customer is not available for a scheduled appointment or cancels with less than 24-hour notice, the service visit may be charged as used from the membership benefits. ***5. LIMITATIONS AND EXCLUSIONS *5.1 Equipment Coverage This membership covers only the HVAC equipment specifically identified during the initial service visit. Additional equipment installed after the Agreement date requires separate membership or service agreements. *5.2 Exclusions This membership does NOT cover: • Parts, materials, or refrigerant • Repairs or replacements of any kind • Ductwork modifications or repairs • Electrical work beyond standard HVAC components • Equipment breakdowns or failures • Damages caused by Customer negligence, misuse, or third parties • Services required due to power outages, water damage, or acts of nature • Weekend, holiday, or after-hours service premiums • Any corrective actions required as a result of pass/fail inspection findings *5.3 Age and Condition Limitations Equipment over fifteen (15) years old or in poor condition may require additional services not covered under this membership. Company reserves the right to recommend equipment replacement when maintenance is no longer cost-effective. ***6. WARRANTIES AND DISCLAIMERS *6.1 Service Warranty Company warrants that all services will be performed by qualified technicians in accordance with industry standards. Any defects in workmanship will be corrected at no additional charge if reported within thirty (30) days of service. *6.2 DISCLAIMER OF WARRANTIES EXCEPT AS EXPRESSLY SET FORTH HEREIN, COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, OR NON-INFRINGEMENT REGARDING THE SERVICES PROVIDED. *6.3 Equipment Performance Company does not warrant or guarantee the performance, efficiency, or reliability of Customer's HVAC equipment. This membership provides maintenance services only and does not constitute a service contract or warranty for equipment performance. ***7. LIABILITY LIMITATIONS *7.1 Limitation of Liability COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE ANNUAL MEMBERSHIP FEE PAID BY CUSTOMER. IN NO EVENT SHALL COMPANY BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. *7.2 Property Damage Company maintains general liability insurance and will be responsible for property damage directly caused by Company's negligent performance of services under this Agreement, subject to the limitations set forth herein. *7.3 Third-Party Claims Customer agrees to indemnify and hold Company harmless from any claims arising from Customer's use of the HVAC system or any modifications made by parties other than Company. ***8. CANCELLATION AND TERMINATION *8.1 Customer Cancellation Customer may cancel this Agreement with thirty (30) days written notice. Cancellation within the first year will result in forfeiture of unused benefits and may require payment of the difference between services used and applicable non-member rates. *8.2 Company Termination Rights COMPANY RESERVES THE RIGHT TO TERMINATE OR REVOKE THIS MEMBERSHIP AT ANY TIME FOR ANY LAWFUL REASON, including but not limited to: (a) Customer's failure to pay amounts due after fifteen (15) days written notice; (b) Customer's breach of any material term; (c) circumstances that make continued service unsafe or impractical; (d) Customer conduct that is abusive, threatening, or disruptive to Company personnel; (e) Customer's failure to provide reasonable access to equipment; or (f) any reason that Company, in its sole discretion, deems necessary for the protection of its business, employees, or other customers. *8.3 Refund Policy Upon cancellation by Customer, Customer will receive a pro-rated refund of unused benefits, less any services provided at membership rates and a $50 administrative fee. NO REFUND WILL BE PROVIDED IF MEMBERSHIP IS TERMINATED BY COMPANY FOR CUSTOMER BREACH OR MISCONDUCT. ***9. FORCE MAJEURE Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, government regulations, labor disputes, material shortages, or public health emergencies. ***10. GENERAL PROVISIONS *10.1 Governing Law This Agreement shall be governed by the laws of the State of Oregon without regard to conflict of law principles. Any legal action arising from this Agreement shall be brought in the courts of Clackamas County, Oregon. *10.2 Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter hereof. *10.3 Modification This Agreement may only be modified by written instrument signed by both parties, except for fee adjustments as provided herein. *10.4 Severability If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. *10.5 Assignment This Agreement binds and benefits the parties' successors and assigns, but Customer may not assign this Agreement without Company's written consent. *10.6 Dispute Resolution Any disputes arising under this Agreement shall first be addressed through good faith negotiation. If unresolved, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Clackamas County, Oregon. *10.7 Oregon Consumer Protection This Agreement is subject to the Oregon Consumer Protection Act and other applicable Oregon consumer protection laws. ***11. ACKNOWLEDGMENTS *11.1 Customer Acknowledgments Customer acknowledges: • Receipt of a copy of this Agreement • Understanding of all terms and conditions • That this is a service agreement, not an insurance policy or warranty • That additional services may be recommended and will be charged separately • That problems found during inspection will result in additional costs for corrections • That Company reserves the right to adjust fees and terminate membership • That Company is licensed in the State of Oregon *11.2 Right to Rescind Customer has the right to cancel this Agreement within three (3) business days of signing by providing written notice to Company at the address listed above. *11.3 Oregon Licensing Company is licensed by the Oregon Construction Contractors Board and complies with all applicable Oregon regulations for HVAC contractors. This Agreement has been reviewed and approved for use in the State of Oregon.
